1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the CommerceOS website, client portal, and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
2. Our Services
We provide web development, ecommerce, SEO, performance marketing, analytics, and AI-powered growth services, delivered through engagements agreed with each client and surfaced in a client portal. Specific deliverables, timelines, and fees are defined in your separate proposal or service agreement, which takes precedence over these Terms where they conflict.
3. Accounts & Client Portal
Access to the client portal is provided to clients via an account we create or you register. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us immediately of any unauthorised use.
4. Acceptable Use
You agree not to:
- Use the Services for any unlawful, harmful, or fraudulent purpose.
- Attempt to gain unauthorised access to our systems, other accounts, or data.
- Interfere with or disrupt the integrity or performance of the Services.
- Reverse engineer, resell, or misuse the platform or its data.
5. Fees & Payment
Fees for services are set out in your proposal or invoice. Unless stated otherwise, invoices are due on the terms specified, and late or unpaid amounts may result in suspension of services. Taxes are your responsibility where applicable.
6. Intellectual Property
We retain all rights to our platform, software, processes, and pre-existing materials. Upon full payment, deliverables created specifically for you under an engagement are licensed or assigned to you as set out in your service agreement. You retain ownership of your brand assets, content, and data, and grant us the rights needed to perform the Services.
7. Third-Party Services
The Services may integrate with third-party platforms (for example Shopify, Google, Meta, and payment or email providers). Your use of those platforms is governed by their own terms and policies, and we are not responsible for their availability or actions.
8. Confidentiality
Each party agrees to protect the other's confidential information and to use it only to perform or receive the Services. This obligation survives termination.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. While we work hard to drive results, we do not guarantee specific rankings, revenue, traffic, or other outcomes, which depend on many factors outside our control.
10. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, or consequential damages, and our total liability arising from the Services will not exceed the fees you paid to us in the three months preceding the claim.
11. Termination
Either party may terminate an engagement as described in the applicable service agreement. We may suspend or terminate access to the Services if you breach these Terms. Upon termination, your right to use the Services ends, though provisions that by their nature should survive will continue to apply.
12. Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles, and the courts located there will have exclusive jurisdiction, unless your service agreement specifies otherwise.
13. Changes to These Terms
We may update these Terms from time to time. We'll revise the “Last updated” date above, and continued use of the Services after changes constitutes acceptance of the revised Terms.
